Terms of Service

1. Acceptance of Terms

By accessing, browsing, registering for, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, all of which are incorporated herein by reference. If you do not agree to all of these Terms, you must immediately cease using the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after any modification constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

• You must be at least 18 years of age to use the Service.
• You must have the legal capacity to enter into a binding contract in your jurisdiction.
• Use of the Service may be restricted or prohibited in certain jurisdictions. You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction.
• The Service is not available to persons who have been previously suspended or removed from the Service by Coinslator.

3. Nature of the Service — Informational Only

Coinslator is a data aggregation, analytics, and market monitoring platform. The Service provides users with aggregated cryptocurrency market data, including funding rates, price spreads, open interest, basis, yield figures, arbitrage indicators, and related analytics.

The Service does not provide and is not intended to provide:

• Financial advice, investment advice, or trading recommendations of any kind.
• Legal, tax, accounting, or regulatory advice.
• Execution of trades, orders, or transactions on any exchange.
• Custody, transmission, or management of any digital or fiat assets.

All data and tools are provided for informational and educational purposes only. You are solely responsible for all trading and investment decisions you make. You should always consult a qualified and licensed professional before making any financial decision.

4. Account Registration and Security

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are solely responsible for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
• We reserve the right to refuse registration or cancel accounts at our sole discretion.

5. Subscriptions, Billing, and Auto-Renewal

• Current monthly subscription plans: Insight ($29.95/month) and Edge ($49.95/month), unless otherwise displayed at checkout.
• Execution ($99.95/month) is listed as coming soon and is not purchasable until enabled.
• Edge plan includes all Insight-tier features.
• Subscriptions are billed in advance on a monthly recurring basis.
• By subscribing, you expressly authorize Coinslator to charge your selected payment method on a recurring basis until you cancel.
• Your subscription renews automatically at the end of each billing period unless canceled beforehand.
• You may cancel at any time via your account profile settings. Cancellation takes effect at the end of the current billing period. To request cancellation by email, contact [email protected] — however, you remain responsible for completing cancellation through your account settings.
• You will receive a reminder email at least 7 days before each renewal. If you do not cancel before the renewal date, the subscription will automatically renew and your payment method will be charged.
• All fees are non-refundable. No full or prorated refunds are issued for partial billing periods, unused time, or cancellations mid-period, except where required by applicable law.
• We reserve the right to change pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to the next billing cycle.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

6. Free Trials and Promotional Offers

Where a free trial or promotional access period is offered, it will be described at the point of sign-up. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. We reserve the right to modify or discontinue trial offers at any time.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Scrape, crawl, or systematically extract data from the Service beyond normal use, or for commercial redistribution.
• Use the Service to build a competing product or service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Transmit any malware, viruses, or other harmful code.
• Use the Service in any jurisdiction where doing so is prohibited by law.
• Share, resell, sublicense, or transfer account access to third parties.

Violation of this section may result in immediate account suspension or termination without refund.

8. Third-Party Data Sources and Data Accuracy

The Service aggregates market data from independent third-party sources, including cryptocurrency exchanges (such as Binance, Bybit, OKX, Gate.io, Kraken, KuCoin, Phemex, and others) and data providers (such as CoinGecko). These third parties are not affiliated with Coinslator.

Market data displayed — including funding rates, price spreads, open interest, basis, and yield figures — may be delayed, incomplete, rounded, normalized, or temporarily unavailable due to API outages, rate limits, or third-party errors. Coinslator makes no representation or warranty as to the accuracy, completeness, timeliness, or reliability of any data. You must independently verify all data before acting on it. Coinslator is not liable for any losses arising from inaccurate, delayed, or unavailable data.

We are not responsible for third-party outages, delays, inaccuracies, policy changes, or actions. Changes to a third party's API or terms of service may affect data availability without prior notice.

9. Intellectual Property

All content, software, interfaces, branding, trademarks, logos, and materials comprising the Service are owned by Coinslator or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own personal, non-commercial purposes, subject to these Terms. No other rights are granted. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COINSLATOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, COINSLATOR DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DATA OR CONTENT IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SERVICE OR ANY SERVER MAKING IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CRYPTOCURRENCY MARKETS ARE HIGHLY VOLATILE AND PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COINSLATOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, TRADING LOSSES, INVESTMENT LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF COINSLATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL COINSLATOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO COINSLATOR IN THE SIX (6) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coinslator and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content you submit, post, or transmit through the Service.

13. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable law.
• Fraudulent, abusive, or harmful activity.
• Non-payment of subscription fees.
• Extended inactivity.
• Our sole business discretion.

Upon termination, your right to access the Service ceases immediately. No refunds or prorated credits will be issued for any remaining subscription period, except where required by applicable law. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) shall survive.

14. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, all disputes arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration, not in court.

• Arbitration Provider: American Arbitration Association (AAA), under its Consumer Arbitration Rules.
• Seat / Venue: Wyoming, USA (or remote/telephonic proceedings where permitted by AAA rules).
• Class Action Waiver: You and Coinslator each waive any right to bring or participate in a class action, collective action, or representative proceeding of any kind. Disputes must be brought on an individual basis only.
• Severability: If the class action waiver is found unenforceable, that specific dispute shall proceed in court in Wyoming, and the remainder of the arbitration agreement shall remain in effect.
• Opt-Out: You may opt out of arbitration by sending written notice to [email protected] within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-laws principles. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Wyoming, USA.

16. Notices

We may provide notices to you via email, in-app notification, or by posting on the Service. Notices to Coinslator must be sent to [email protected].

17. Entire Agreement and Severability

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Coinslator with respect to the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Coinslator to be effective.

19. Force Majeure

Coinslator shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, labor disputes, internet or telecommunications outages, exchange API failures, governmental actions, or blockchain network disruptions.
